By creating an account or otherwise using NutriPanel (the "Service"), you ("you" or "User") agree to be bound by these Terms of Service ("Terms") and our Disclaimer and Privacy Policy. If you do not agree, do not use the Service.
NutriPanel is a software tool that helps Canadian food producers draft Nutrition Facts tables ("NFTs") in the layout, ordering, rounding, and Daily Value conventions described in publicly available Canadian Food Inspection Agency ("CFIA") materials and Health Canada's Table of Daily Values (2022). NutriPanel is a productivity tool only.
NutriPanel is NOT affiliated with, endorsed by, certified by, sponsored by, or approved by the Canadian Food Inspection Agency, Health Canada, the Government of Canada, the United States Department of Agriculture, or any regulatory authority.
NutriPanel does NOT replace, and is not a substitute for: (a) a registered dietitian, (b) a regulatory consultant, (c) accredited laboratory analysis, (d) legal advice, or (e) review by CFIA or any other competent authority. Output from NutriPanel is draft assistance only.
You acknowledge and agree that nutritional accuracy on a commercial food label is YOUR sole responsibility as the producer. Before printing, applying, or commercializing any label generated with NutriPanel, you must independently verify all values, formatting, ingredient declarations, allergen statements, and regulatory claims with one or more of the following:
• A registered dietitian licensed in your province; • A CFIA-accredited or ISO 17025–accredited laboratory; • A Canadian regulatory consultant or food-law practitioner; • Direct review against the current Food and Drug Regulations ("FDR") and Safe Food for Canadians Regulations ("SFCR").
Failure to perform this verification, and any consequences arising from such failure, are your sole responsibility.
NutriPanel pulls reference values from third-party databases including the USDA FoodData Central API and Health Canada's Canadian Nutrient File (CNF). These databases may contain incomplete, outdated, or inaccurate entries. NutriPanel makes no warranty as to the accuracy, completeness, or fitness for purpose of any third-party data and is not liable for errors propagated from these sources.
You are responsible for maintaining the confidentiality of your account credentials and for all activity occurring under your account. You must notify us immediately of any unauthorized use. We may suspend or terminate accounts at our discretion for breach of these Terms.
You may not use NutriPanel to generate false, misleading, or unsubstantiated nutritional or health claims; to violate the Food and Drug Regulations, the Food and Drugs Act, the Safe Food for Canadians Act, or any other applicable Canadian or foreign law; or to mislead consumers, retailers, or regulators in any way.
NutriPanel and all original content, features, software, design, and trademarks are owned by NutriPanel and its licensors and are protected by Canadian and international copyright, trademark, and other intellectual property laws. You retain ownership of recipe data, ingredient lists, and other content you input into the Service. You grant NutriPanel a limited licence to process that content solely to provide the Service to you.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR REGULATORY COMPLIANCE. NUTRIPANEL DOES NOT WARRANT THAT OUTPUT WILL BE ACCURATE, COMPLETE, ERROR-FREE, OR SUITABLE FOR COMMERCIAL OR REGULATORY PURPOSES. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUTRIPANEL, ITS OWNERS, OPERATORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF — OR INABILITY TO USE — THE SERVICE, OR ARISING FROM ANY CLAIM RELATED TO LABELS, NUTRITIONAL VALUES, ALLERGEN INFORMATION, INGREDIENT LISTS, REGULATORY ACTION, RECALL, FINE, INJURY, OR ILLNESS, REGARDLESS OF WHETHER NUTRIPANEL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
IN NO EVENT SHALL NUTRIPANEL'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO NUTRIPANEL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) FIFTY CANADIAN DOLLARS (CAD $50.00).
Some jurisdictions do not allow the exclusion or limitation of certain damages; in those jurisdictions, the above limitations apply to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless NutriPanel, its owners, operators, officers, employees, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) any label, claim, or product you produce or commercialize using output from the Service; (c) any allegation of regulatory non-compliance, mislabelling, allergen incident, illness, injury, or recall associated with a product bearing a label you generated; (d) your violation of these Terms; or (e) your violation of any third-party right.
Paid plans are billed in advance on a recurring basis (monthly or annual). You may cancel at any time; cancellation takes effect at the end of the current billing period. We do not provide pro-rated refunds for partial periods, except where required by applicable law. Pricing may change with at least thirty (30) days' notice to active subscribers.
We may suspend or terminate your access to the Service at any time, with or without notice, for breach of these Terms, suspected unlawful activity, or any other reason at our discretion. Sections 2 (What NutriPanel is and is not), 3 (Verification obligation), 7 (Intellectual property), 8–10 (Warranties, Liability, Indemnification), and 13 (Governing law) survive termination.
These Terms are governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree to submit to the exclusive jurisdiction of the courts of Ontario, Canada for any dispute arising out of or related to these Terms or the Service.
We may modify these Terms from time to time. Material changes will be communicated by updating the "Last updated" date below and, where appropriate, by email. Your continued use of the Service after changes take effect constitutes acceptance.
If any provision of these Terms is held to be unenforceable, the remaining provisions remain in full force and effect. These Terms, together with the Disclaimer and Privacy Policy, constitute the entire agreement between you and NutriPanel regarding the Service.
